growGRC TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing, registering, subscribing, or using growGRC (the "Service", "Platform"), operated by Global Modern Services, a company established in the State of Florida, USA, located at 5204 NW 103 AVE. DORAL, FL 33178, USA ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization or legal entity, you represent and warrant that you have the authority to legally bind that organization to these Terms.

2. THE SERVICE & DISCLAIMER

growGRC is a cloud-based Software-as-a-Service (SaaS) platform designed for Governance, Risk, and Compliance (GRC) management, internal controls, frameworks, and audit workflows.

growGRC does not provide legal, financial, accounting, or formal regulatory compliance advice. The platform is strictly an operational tracking and workflow support tool. You remain solely and exclusively responsible for your organization's legal compliance, internal controls accuracy, and independently verifying all data, findings, and outputs. Global Modern Services bears no responsibility for regulatory fines, penalties, or audit outcomes incurred by your organization.

3. GRANT OF LICENSE & RESTRICTIONS (LEGAL-TECH / IP PROTECTION)

3.1 Limited License

Subject to full compliance with these Terms and timely payment of subscription fees, Global Modern Services grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service solely for your internal business operations during your active subscription term.

3.2 License Restrictions

You expressly agree that you shall NOT, directly or indirectly:

Sublicense, resell, rent, lease, transfer, assign, or distribute the Service or any part thereof to third parties.
Reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive or access the source code, underlying structures, algorithms, or proprietary ideas of the platform.
Modify, adapt, translate, or create derivative works based upon the Service.
Bypass, circumvent, or disable any security, licensing, authentication, or multi-tenant isolation controls.
Use automated scrapers, bots, or data mining tools on the platform.

4. USER ACCOUNTS & SECURITY

You must provide accurate, current, and complete information during registration.
You are responsible for safeguarding your login credentials and for all activities occurring under your account.
You must notify us immediately at security@growgrc.app of any unauthorized access or breach of security.
We reserve the right to suspend or terminate accounts that violate these Terms or threaten system integrity.

5. INTELLECTUAL PROPERTY RIGHTS

The Service, including its software code, databases, UI/UX architecture, trademarks, trade names, logos ("growGRC"), graphics, and documentation, are and will remain the exclusive property of Global Modern Services and its licensors. All rights not expressly granted herein are reserved.

Customer Data Ownership: Your uploaded data and operational risk evidence remain yours. You grant us a limited, worldwide license to host, transmit, and process your data solely as necessary to provide, support, and maintain the Service in accordance with our Data Processing Agreement (DPA) and Privacy Policy.

6. PAYMENTS, CANCELLATIONS & REFUNDS

6.1 Merchant of Record & Payment Processing

Our order process and subscription transactions are conducted and fulfilled by our online reseller and Merchant of Record, Paddle.com Market Ltd ("Paddle"), located at Judd House, 18-29 Mora Street, London, EC1V 8BT, United Kingdom.

Paddle manages order processing, handles customer billing inquiries, and calculates, collects, and remits all applicable sales tax, VAT, and GST worldwide. By subscribing to growGRC, you purchase from Paddle, and charges will appear on your financial statement as "PADDLE.NET* GROWGRC" or "PADDLE.COM".

6.2 Subscription Tiers, Renewals & Plan Changes

Automatic Renewal: All subscriptions renew automatically on a recurring monthly or annual basis unless canceled prior to the renewal date.
Plan Upgrades: When upgrading to a higher tier mid-cycle, the upgrade takes effect immediately. Paddle will immediately charge your payment method a prorated amount for the remainder of the current billing cycle. Plan upgrades are non-refundable.
Plan Downgrades: When downgrading to a lower tier, the change will take effect at the beginning of the subsequent billing cycle. You maintain full access to your current tier features until the end of the active paid period. No partial refunds or credits are issued for unused capacity during the existing cycle.

6.3 Cancellation Policy

You may cancel your recurring subscription at any time:

Self-Service Cancellation: You can cancel directly from your account dashboard under Settings > Billing & Subscription, or via Paddle's buyer portal at https://paddle.net.
Access Through Billing Period: Upon cancellation, your account remains active with full access to paid features until the conclusion of your current paid billing period (monthly or annual).
No Future Charges: Once canceled, your subscription will not renew, and your payment method will not be charged again.

6.4 Refund Policy (No Refunds for Partial Periods)

Due to the digital nature of our Software-as-a-Service (SaaS) platform, immediate automated provisioning of dedicated cloud resources, multi-tenant database infrastructure, and non-recoverable third-party API costs (including AI processing and compliance frameworks), all sales are final and we do not offer refunds or credits for any partially used or unused subscription periods.

Statutory Withdrawal Rights (EU/UK): You expressly acknowledge and agree that access to growGRC digital services begins immediately upon successful payment. By subscribing, you consent to immediate performance and waive any statutory 14-day cancellation or cooling-off rights once provisioning has commenced, to the fullest extent permitted by applicable law. Nothing in this section limits any non-waivable statutory rights under applicable consumer protection law. Paddle, acting as Merchant of Record, reserves the right to issue refunds or address cancellation inquiries in accordance with its standard buyer terms and mandatory statutory consumer rules.
Evaluation Resources: To ensure growGRC meets your organization's requirements prior to purchasing a paid subscription, we provide free online diagnostic tools, calculators, and an Explorer tier with core platform features.
Billing Inquiries & Technical Errors: If you identify a duplicate charge or technical billing error, contact billing@growgrc.app or Paddle buyer support at https://paddle.net within thirty (30) days of transaction date for prompt review.

7. ARTIFICIAL INTELLIGENCE FEATURES

growGRC may incorporate AI-assisted capabilities. AI-generated analyses, control assessments, and recommendations are informational aids and must be reviewed and verified by a human professional before implementation.

8. LIMITATION OF LIABILITY

8.1 Exclusion of Consequential and Regulatory Damages:

To the maximum extent permitted by applicable law, Global Modern Services, its affiliates, directors, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to loss of profits, loss of data, business interruption, regulatory penalties, statutory fines, compliance sanctions, or costs of legal counsel arising out of or related to your use of or inability to use the Service.

8.2 Aggregate Liability Cap:

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to these Terms or the Service, under any theory of contract, tort (including negligence), or strict liability, shall be strictly limited to the lesser of:

(a) the total subscription fees actually paid by you for the Service in the one (1) month immediately preceding the event giving rise to liability, or

(b) one hundred US dollars ($100.00 USD).

9. DISCLAIMER OF WARRANTIES

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

10. EXPORT CONTROL & TRADE SANCTIONS COMPLIANCE

You represent and warrant that you and your organization are not located in, organized under the laws of, or resident in any country or territory subject to comprehensive international trade sanctions or embargoes (including, but not limited to, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), nor listed on any sanctioned or restricted party list maintained by the United States (OFAC, BIS), the United Kingdom, the European Union, or the United Nations. You agree not to access, export, re-export, transfer, or use the Service in violation of any applicable export control laws, economic sanctions, or Paddle operational compliance rules.

11. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to conflict of law principles. Any legal action or dispute arising under these Terms shall be instituted exclusively in the state or federal courts located in Miami-Dade County, Florida, USA.
